Microsoft - Yahoo! : Yahoo! Inc. publie son rapport annuel 2007



Deux indicateurs économiques de Yahoo! en 2007

Tout y est : les chiffres, les rachats, les procès (dont 7 depuis le 1er février 2008 !), la répartition États-Unis (68% en 2007 et 2006 vs. 70% en 2005) / International (32% en 2007 et 2006 vs. 30% en 2005), et Microsoft...

Microsoft’s unsolicited acquisition proposal has created a distraction for our management and uncertainty that may adversely affect our business.



On January 31, 2008, we received an unsolicited proposal from Microsoft Corporation (“Microsoft”) to acquire all of the outstanding shares of common stock of the Company. On February 11, 2008, our Board of Directors announced that, after carefully reviewing the proposal, it unanimously concluded that the proposal is not in the best interests of Yahoo! and its stockholders. The Board further indicated that it is continually evaluating all of the Company’s strategic options. The review and consideration of the Microsoft proposal (and any alternate proposals that may be made by other parties) have been, and may continue to be, a significant distraction for our management and employees and have required, and may continue to require, the expenditure of significant time and resources by us. Microsoft’s unsolicited acquisition proposal has also created uncertainty for our employees and this uncertainty may adversely affect our ability to retain key employees and to hire new talent. Microsoft’s unsolicited acquisition proposal may also create uncertainty for current and potential publishers, advertisers and other business partners, which may cause them to terminate, or not to renew or enter into, arrangements with us. Additionally, we and members of our Board of Directors have been named in seven purported stockholder class action complaints relating to the Microsoft proposal as more fully described in Part I, Item 3 “Legal Proceedings” of this Annual Report on Form 10-K. These lawsuits or any future lawsuits may become time consuming and expensive. These consequences, alone or in combination, may harm our business.
Par ailleurs, outre la possibilité évoquée de perdre des annonceurs et des partenaires, Yahoo! avertit sur la volatilité du cours de l'action et sur les risques importants de fluctuation de sa valeur, tout en précisant que :
We further believe that, as a result of Microsoft’s unsolicited acquisition proposal, and speculation concerning a potential acquisition, the future trading price of our common stock is likely to be volatile and could be subject to wide price fluctuations. There can be no assurance whether a transaction will occur or at what price. If a transaction does not occur, or the market perceives a transaction as unlikely to happen, our stock price may decline.

Ce qui est un doux euphémisme...



Enfin, une section entière est réservée à la clause empoisonnée :
Anti-takeover provisions could make it more difficult for a third-party to acquire us.



We have adopted a stockholder rights plan and initially declared a dividend distribution of one right for each outstanding share of common stock to stockholders of record as of March 20, 2001. As a result of our two-for-one stock split effective May 11, 2004, each share of common stock is now associated with one-half of one right. Each right entitles the holder to purchase one unit consisting of one one-thousandth of a share of our Series A Junior Participating Preferred Stock for $250 per unit. Under certain circumstances, if a person or group acquires 15 percent or more of our outstanding common stock, holders of the rights (other than the person or group triggering their exercise) will be able to purchase, in exchange for the $250 exercise price, shares of our common stock or of any company into which we are merged having a value of $500. The rights expire on March 1, 2011, unless extended by our Board of Directors. Because the rights may substantially dilute the stock ownership of a person or group attempting to take us over without the approval of our Board of Directors, our rights plan could make it more difficult for a third-party to acquire us (or a significant percentage of our outstanding capital stock) without first negotiating with our Board of Directors regarding that acquisition.



In addition, our Board of Directors has the authority to issue up to 10 million shares of Preferred Stock (of which 2 million shares have been designated as Series A Junior Participating Preferred Stock) and to determine the price, rights, preferences, privileges and restrictions, including voting rights, of those shares without any further vote or action by the stockholders.

Pour conclure sur le résultat annuel de Yahoo!, il est de 840 697 000 $ en 2007, contre 1 324 529 000 $ en 2005 et 937 861 000 en 2006, soit en baisse de 11% par rapport à 2006, et de 36,5% par rapport à 2005 ! [Début]

En outre, si je reprends les indicateurs économiques appliqués à l'analyse de GYM en mai dernier, on voit que Yahoo décline fortement :



Le premier indicateur est le ratio Cap./C.A., qui permet de déterminer le multiple de capitalisation pour chaque dollar de chiffre d’affaires.



En 2006, GYM avait généré un C.A. global de 61,3 milliards $ pour une capitalisation agrégée de 469,5 milliards $, soit un ratio Cap./C.A. moyen de 7,66. En termes simples, cela signifiait que sur cette période les trois sociétés avaient globalement créé 7,66 $ de capitalisation pour chaque dollar de chiffre d’affaires.





Or en appliquant ce ratio à Yahoo! en 2007, cela donne 6 969 274 000 $ de C.A. pour une capitalisation de 31 639 345 220 $ (1 360 247 000 actions cotées 23,26 $ au 31-12-2007), soit un ratio de 4,54 : l'année dernière, Yahoo a créé 4,54 $ de capitalisation pour chaque dollar de C.A.



En baisse d'un tiers par rapport à 2006

Le deuxième indicateur est la règle du coût par dollar (CPD) de Lou Gerstner, à savoir combien il en coûte à une entreprise de générer 1 dollar de C.A. par rapport à ses concurrents…



On l'obtient en divisant la somme des coûts marketing de l’entreprise (EME - Enterprise Marketing Expenses) par le C.A.





Il en a donc coûté 41,8 cents à Yahoo! pour générer 1 dollar de C.A. en 2006, contre 47,8 cents en 2007 (avec un total EME 2006 de 2,684 milliards $, contre 3,328 milliards en 2007), soit +14% d'une année sur l'autre !





Donc en conclusion, Yahoo! dépense plus d'un côté et crée moins de valeur de l'autre, pour la plus grande joie de ses actionnaires...



Sur ce, je vous laisse faire de même pour Microsoft et calculer le ratio de performance agrégé Microsoft-Yahoo! par rapport à Google, moi je vais me coucher. :-) [Début]
